Welcome to Memorio! These Terms of Service ("Terms") govern your use of our payment collections app ("Memorio" or the "Service") provided by Memorio LLP ("Company," "we," or "us"). By accessing or using Memorio, you agree to be bound by these Terms and our Privacy Policy , which is incorporated herein by reference.
1. Eligibility

To use Memorio, you must be at least 18 years old and capable of forming a binding contract with the Company. If you are using Memorio on behalf of a business, you represent and warrant that you have the necessary authority to bind that business entity to these Terms.

2. User Accounts

To use certain features of Memorio, you may be required to create a user account by providing your contact details, business information, official identification, and settlement bank account details. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3. Use of Memorio

Memorio is a digital asset format to be used for event invites, digital marketing and general dissemination of information about products, services and offerings. You agree to use Memorio only for lawful purposes and in compliance with all applicable laws and regulations.

4. Prohibited Activities
    When using Memorio, you agree not to:
  • Upload, transmit, or distribute any content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
  • Engage in any fraudulent or deceptive activities, including but not limited to sending misleading payment reminders or collecting payments for unauthorized goods or services or using content to defraud or chat any person.
  • Attempt to gain unauthorized access to any portion of Memorio or its systems.
  • Interfere with or disrupt the integrity or performance of Memorio or its services.
  • Reverse engineer, decompile, or disassemble any part of Memorio.
  • Embed or extend any features of Memorio without our prior written consent, except through any official API we may provide.
  • 5. Intellectual Property

    Memorio and its entire contents, features, and functionality are owned by the Company and are protected by intellectual property laws. You may not modify, reproduce, distribute, create derivative works, or publicly display any part of Memorio without our prior written consent.

    6. Payment and Fees

    Memorio operates on a paid, per-asset model. You agree to pay the fees associated with the use of the Service.

    The Company reserves the right to change its fees and pricing model at any time, at its sole discretion. Any fee changes will be communicated to you in advance and will not apply retroactively.

    7. Third-Party Services

    Memorio may integrate with or rely on third-party services, such as WhatsApp and UPI payment gateways. Your use of these third-party services is subject to their respective terms and privacy policies.

    8. Termination

    The Company reserves the right to suspend or terminate your access to Memorio, with or without notice, for any reason, including but not limited to a violation of these Terms.

    Upon termination, your right to use Memorio will immediately cease. The Company will not be liable for any damages or losses incurred as a result of termination.

    9. Disclaimers and Limitations of Liability

    Memorio is provided "as is" and "as available" without warranties of any kind, express or implied. The Company disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

    10. Indemnification

    You agree to indemnify, defend, and hold harmless the Company, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your use of Memorio or violation of these Terms.

    11. Governing Law and Dispute Resolution

    These Terms shall be governed by and construed in accordance with the laws of Maharashtra. Any disputes arising out of or relating to these Terms or your use of Memorio shall be resolved through binding arbitration in accordance with the rules of the Arbitration Body.

    12. Changes to These Terms

    The Company reserves the right to modify or update these Terms at any time without prior notice. Your continued use of Memorio after any changes to these Terms constitutes your acceptance of the new Terms.
